Regulatory Scope and Service Disclaimer

Sterling Group FZE-LLC, a company incorporated and operating under the laws of the United Arab Emirates, does not provide money transmission, currency exchange, or payment services to individuals or entities located in the United States of America. Any services involving the conversion of digital assets (e.g., USDT) into fiat currency (e.g., USD) and subsequent disbursement to U.S.-based recipients are exclusively executed by third-party regulated service providers in U.S.-registered Money Services Business (MSB) with FinCEN.

Sterling does not solicit, onboard, or contract with U.S. persons or entities;

- Does not receive or handle funds (digital or fiat) from or on behalf of U.S. residents or businesses;
- Acts solely as a business-to-business facilitator or introducer for regulated service providers;
- Has no involvement in the custody, conversion, or disbursement of funds within U.S. jurisdiction.
- All U.S.-related transactions, including those where U.S. entities transmit USDT and receive USD, are handled solely by compliant MSBs, who bear full responsibility for regulatory compliance under applicable U.S. federal and state laws.

Our platform orchestrates B2B payment workflows through regulated third-party providers.

We do not provide money transmission, foreign exchange, or payment processing services to clients in the United States.

In certain cases, U.S.-based business clients may choose to send USDT (Tether) directly to our regulated MSB provider. The MSB provider then converts the USDT into USD and delivers payment to designated recipients, as instructed by the U.S. business client.

Important Notes:

• We do not receive, store, or control customer funds (neither USDT nor USD). 
• We do not engage in advertising, marketing, or solicitation targeting U.S. persons or entities.
• We do not act as a money transmitter as defined by U.S. federal or state law.
• We orchestrate the transaction by facilitating connections between our clients and the MSB provider but do not directly handle or transmit funds.
• All conversion and settlement operations are fully managed and executed by regulated MSB providers.
   

As per FinCEN Guidance (FIN-2019-G001), "Persons who merely provide the delivery, communication, or network access services used by a money transmitter to support money transmission services are not money transmitters themselves."
